Terms of Service

PLEASE READ CAREFULLY. Section 15 contains an agreement to resolve disputes by binding individual arbitration and a waiver of class actions and jury trials, with a small-claims exception and a 30-day right to opt out. All trading on Vera Charts is simulated. Subscriptions renew automatically until you cancel (Section 7).

1. Who we are and how these Terms work

Vera Charts is a browser-based charting and simulated trading platform operated by Vera Charts LLC, a Wyoming limited liability company, 30 N Gould St, Ste N, Sheridan, WY 82801, USA ("Vera Charts", "we", "us"). These Terms of Service ("Terms") govern your use of the Vera Charts websites, platform, subscriptions and related services (the "Services"). The Privacy Policy, Risk Disclosure, Simulated Trading Disclaimer and Refund Policy form part of these Terms.

You accept these Terms by ticking the box that says you agree to them when you create an account or when we ask you to accept updated Terms. If you reach the platform through a partner prop firm, you accept these Terms when you accept that firm's terms or first use the platform, and the firm's own terms govern your evaluation fees, account terms, profit splits and any payouts. If you do not agree, do not use the Services.

You agree that ticking that box is your electronic signature, that we may deliver these Terms, notices and records to you electronically, and that we keep a record of your acceptance (the version, time, IP address and device). If a translation of these Terms differs from the English version, the English version controls.

2. Eligibility

You must be at least 18 years old and the age of majority where you live, able to enter a binding contract, and not located in a jurisdiction where offering simulated trading services is restricted or that is subject to comprehensive sanctions.

3. Your account

We grant you a personal, non-transferable, non-exclusive, revocable license to use the platform's simulated trading environment for personal, non-commercial use. Give accurate information and keep your credentials secure. Tell us promptly about any unauthorized access; we may suspend access while we investigate.

4. Acceptable use

You agree not to: (i) use the platform on behalf of another person without our written permission; (ii) attempt to reverse-engineer, exploit or manipulate the simulated execution engine, the risk-rule engine or any partner-firm integration; (iii) coordinate trading across multiple accounts to defraud Vera Charts or a partner firm; (iv) use the platform from a jurisdiction where offering simulated trading services is restricted; (v) use automated tools to extract data beyond what our public APIs permit; or (vi) use the Services unlawfully or interfere with their security.

5. Simulated trading only; no investment advice

All trading on Vera Charts is simulated. No orders are routed to a real exchange and no customer funds are placed at market risk. Simulated fills, spreads and prices may differ from real markets. We are not a broker, dealer, investment adviser, commodity trading advisor or commodity pool operator, and nothing in the Services is investment, financial, legal or tax advice or a recommendation to buy or sell anything. We owe you no fiduciary duty.

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFIT OR LOSSES SIMILAR TO THOSE SHOWN.

6. Partner-firm programs

Vera Charts is not a prop firm. We do not issue evaluations, set account sizes or profit splits, or pay traders. Those programs are run by our partner firms under their own terms, and disputes about evaluation fees, payouts or program terms are between you and that firm.

7. Subscriptions, automatic renewal and cancellation

Before you subscribe we show the price and billing period. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY at the end of each billing period (monthly or yearly), and your payment method is charged the price shown at checkout, plus any applicable tax, until you cancel. Monthly plans are charged on the day you subscribe and each month after; yearly plans on the day you subscribe and each anniversary.

You can cancel at any time online from your account settings, with no need to call or write to us. Cancellation stops future charges and takes effect at the end of the current billing period, and you keep access until then. We do not refund the current period except as the Refund Policy or the law requires. If we change a subscription price, we will tell you before it applies and you can cancel before the new price is charged. We do not currently offer a free trial unless one is shown at checkout.

8. Refunds and chargebacks

Refunds are governed by the Refund Policy, which is part of these Terms. If you have a problem with a charge, contact [email protected] first. A chargeback on a payment you made or authorized is a breach of these Terms; we may suspend the account and give your payment provider the records of your purchase, acceptance of these Terms, logins and use of the Services.

9. Intellectual property

Vera Charts and the Vera Charts marks belong to Vera Charts LLC. The platform's charting layer is the Vera Canvas Engine, built in-house on standard browser primitives (HTML5 canvas and the d3-zoom interaction library, BSD-3); we do not use third-party commercial chart libraries or trademarks for the chart itself. Other marks belong to their owners. If you send us feedback, we may use it without obligation to you.

10. Third-party data and services

The platform relies on third-party services, including market data providers, payment processing, authentication, hosting, content delivery and caching. Each provider has its own terms and privacy policies, which apply alongside ours. We are not responsible for third-party services we do not control.

11. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM, MARKET DATA, PRICES OR CALCULATIONS WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY OR FREE OF LATENCY.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VERA CHARTS AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS (INCLUDING SIMULATED OR ANTICIPATED PROFITS), LOST DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID VERA CHARTS DIRECTLY IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND US$100. These limits do not apply where the law does not allow them.

13. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless Vera Charts and its affiliates, members, managers, officers, employees and agents from any third-party claim, loss, liability and reasonable legal fees arising out of your breach of these Terms, your violation of law or of anyone's rights, or your misuse of the Services.

14. Termination

Either of us may end this relationship at any time. We may suspend or terminate access for violations of these Terms or where required by law. Sections that by their nature should survive termination (including Sections 5 and 9 to 18) survive.

15. Dispute resolution: individual arbitration, class action and jury trial waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. You can opt out within 30 days (see Right to Opt Out below) by emailing [email protected].

15.1 Informal Resolution First. Before either of us starts an arbitration or a small-claims case, the party with the dispute must send the other a written Notice of Dispute, and both of us must try in good faith to resolve it for 60 days. Send yours to [email protected] with the subject "Notice of Dispute"; we send ours to the email address on your account. A Notice must include the sender's name, the email address on the account, a description of the dispute and the relief requested, and a Notice from you must be personally signed by you, not only by a lawyer or agent. If either of us asks, we will each take part in an individual phone or video call about the dispute during that period. Any limitation period is paused from the day a complete Notice is sent until the 60 days end. This step does not apply to a request for urgent injunctive relief described under Exceptions.

15.2 Agreement to Arbitrate. Except as stated under Small Claims and Exceptions, you and Vera Charts agree that any dispute, claim or controversy between us arising out of or relating to these Terms, the Services, any account, subscription, purchase, refund or chargeback, or our marketing or communications, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and whether it arose before or after you accepted this agreement to arbitrate, will be resolved by final and binding arbitration on an individual basis and not in court. This agreement to arbitrate also covers claims against, and may be enforced by, our affiliated companies and our and their members, managers, officers, employees and agents. The U.S. Federal Arbitration Act (9 U.S.C. § 1 and following) governs this agreement to arbitrate.

15.3 Who Decides. The arbitrator decides all questions about the interpretation, applicability, scope, enforceability and formation of this agreement to arbitrate, including whether a dispute must be arbitrated, except that a court decides (a) whether the Class Action Waiver is valid and enforceable, (b) any dispute about the Mass Filings procedure, and (c) whether a claim falls within Small Claims or Exceptions.

15.4 Class Action Waiver. You and we may each bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general or representative action or arbitration. The arbitrator may award relief only in favor of the individual party seeking it and only to the extent needed to resolve that party's individual claim. Administrative batching or coordination of individual arbitrations under Mass Filings is not a class or representative proceeding. If a court finds this waiver unenforceable for a particular claim or request for relief (for example, public injunctive relief), then that claim or request, and only that one, is severed, will not be arbitrated on a class or representative basis, and will be decided by a court only after all other claims have been arbitrated.

15.5 Jury Trial Waiver. If a dispute proceeds in court rather than in arbitration for any reason, you and we each waive any right to a trial by jury, to the fullest extent permitted by law.

15.6 Small Claims. Either of us may instead bring an individual claim in small-claims court in the county where you live or in Sheridan County, Wyoming, as long as the claim qualifies for, and stays in, that court on an individual basis.

15.7 Exceptions. This agreement to arbitrate does not cover (a) a request by either of us to a court for temporary or preliminary injunctive relief to stop unauthorized access to or misuse of the Services, infringement or misappropriation of intellectual property, or disclosure of confidential information, while the underlying dispute is arbitrated; or (b) a dispute that you choose to bring in court under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021.

15.8 Rules, Fees and Location. JAMS will administer the arbitration under its Streamlined Arbitration Rules and Procedures (or its Comprehensive Arbitration Rules and Procedures for a claim over US$250,000) and, where you bring the claim as a consumer, the JAMS Consumer Arbitration Minimum Standards, each as in effect when the arbitration is filed and available at jamsadr.com. If JAMS cannot or will not administer the arbitration, we will agree on another provider, or a court will appoint one under 9 U.S.C. § 5. Where you bring a claim as a consumer, you pay no more than the filing fee the JAMS consumer standards allow (currently US$250) and we pay all other JAMS administrative fees and arbitrator compensation, unless the arbitrator finds that your claim was frivolous or brought for an improper purpose under the standard of Federal Rule of Civil Procedure 11(b). Each party pays its own lawyers' fees and costs unless applicable law allows the arbitrator to award them. The arbitration will be conducted by video conference or on written submissions unless the arbitrator decides an in-person hearing is necessary, in which case it will take place in the county where you live or at another place we both agree on. The arbitrator will apply these Terms and applicable law, may award any individual relief a court could award, and will issue a reasoned written decision. Judgment on the award may be entered in any court with jurisdiction.

15.9 Mass Filings. If 25 or more demands for arbitration raising similar claims are filed against us, or by us, by the same or coordinated counsel or organizations, you and we agree that the JAMS Mass Arbitration Procedures and Guidelines in effect at the time apply to those demands, including JAMS's ability to administer them in batches, appoint a procedural arbitrator and set fees for mass filings. Each demand must be signed by the claimant personally and include the claimant's name, the email address on the claimant's account and a description of that claimant's individual claim and the relief sought, and counsel who files it confirms that it meets the standard of Federal Rule of Civil Procedure 11(b). Every claimant keeps the right to have their own claim heard and decided individually, and no claimant is bound by the outcome of another claimant's arbitration. Any limitation period for a demand is paused while that demand waits to be administered under this procedure.

15.10 Right to Opt Out. You may reject this agreement to arbitrate by emailing [email protected] with the subject "Arbitration Opt-Out" within 30 days after you first accept terms that contain it. Send it from the email address on your account and include your full name and a clear statement that you reject arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Wyoming (Sheridan County, or the U.S. District Court for the District of Wyoming), and everything else in these Terms still applies.

15.11 Changes to This Section. If we change this agreement to arbitrate after you accept it, the change will not apply to any dispute that either of us gave notice of before the change took effect. You may reject a material change to this agreement to arbitrate by emailing us as described under Right to Opt Out within 30 days after we notify you of the change, and the version you previously accepted will continue to apply to you.

15.12 Precedence. If any other terms we provide (such as promotion rules) contain a different dispute-resolution, forum or venue provision, this agreement to arbitrate controls unless those other terms expressly say they replace it.

15.13 Survival and Severability. This agreement to arbitrate survives the end of your account and of these Terms. Except as stated in the Class Action Waiver, if any part of it is found unenforceable, that part is severed and the rest remains in effect.

16. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules, and the agreement to arbitrate in Section 15 is governed by the Federal Arbitration Act. Subject to Section 15, any court proceeding will be brought only in the state or federal courts located in Wyoming (Sheridan County, or the U.S. District Court for the District of Wyoming). Where you are a consumer in a jurisdiction whose laws give you mandatory protections that cannot be waived by contract, those protections continue to apply.

17. Changes to these Terms

We may update these Terms. For a material change we will tell you by email or on the platform before it takes effect and ask you to accept the updated Terms by ticking a box. Changes to Section 15 are limited as described there. The version at the top of this page shows which text is in force.

18. General and contact

These Terms and the documents named in Section 1 are the entire agreement between you and us about the Services and replace any prior statements. No statement by any employee, support agent or automated assistant changes these Terms; only a written amendment signed by an authorized officer of Vera Charts LLC can. If any provision is unenforceable, the rest remains in effect (except as stated in Section 15). Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor or affiliate. We are not liable for delays caused by events beyond our reasonable control.
